All companies must have officers. This means at least one director and a company secretary for a private limited company, and at least two directors and a company secretary for a public limited company. Section 283(1) of the Act says every company must have a secretary. Section 283(2) states that a sole director cannot also be the secretary. Generally it is up to the members to appoint the people they believe will run the company well on their behalf. The only restrictions that prevent anyone becoming a director are: the person must not have been disqualified by a court from acting as a company director (unless he or she has been given leave (permission) to act by a court for a particular company); the person must not be an undischarged bankrupt (except with leave of the court); in Scotland, anybody under the age of 16; and for a PLC or their subsidiaries, anybody over the age of 70 unless specifically approved by a general meeting of the company.

 

All England and Scotland registered companies are legally required to have a registered office address. It is the address of a company to which Companies House letters and reminders will be sent. The registered office address can be anywhere in England and Wales (or Scotland if your company is registered there). The registered office address must always be an effective address for delivering documents to the company, and to avoid delays it is important that all correspondence sent to this address is dealt with promptly.

 

Please note registered office address is not to be used for general correspondence. The registered office address will also be used by the UK tax authorities, and other government departments, to contact the company. In the event the company is involved in any legal action official papers will often be served at the registered office address.

 

The nominee company secretary service is ideal for sole directors unable to find someone to take on this role. This covers our appointment as secretary and processing the company’s Annual Return each year. If you would like us to undertake specific company secretary services then we will quote you the likely fees either on an annual or task-by-task basis. This service designed to meet the requirements of those who do not want to appoint a second person to their company. The Companies Act requires a minimum of two officers to be appointed at all times. If you are in business on your own it can often be difficult to find someone else to take on the role of company secretary as they maybe unsure of their legal obligations and responsibilities. The nominee company secretary service will need to be renewed after one year.
